Important: Please read these Terms and Conditions carefully before using our services. By accessing our website or engaging our services, you agree to be bound by these terms.
1. Definitions
In these Terms and Conditions:
- "AXHR", "we", "us", "our" refers to Auraxis Human Resource Services Pte Ltd
- "Client" refers to companies or organizations engaging our recruitment services
- "Candidate" refers to job seekers registered with AXHR
- "Services" refers to all employment agency and HR consulting services offered by AXHR
- "Website" refers to www.auraxishr.sg and all related subdomains
- "Placement" refers to successful hiring of a Candidate by a Client through AXHR
2. Acceptance of Terms
By using our Website or Services, you acknowledge that you have read, understood, and agree to be bound by:
- These Terms and Conditions
- Our Privacy Policy
- Any additional service agreements or contracts
- Applicable Singapore laws and regulations
If you do not agree to these terms, please do not use our Website or Services.
3. Services Offered
3.1 For Clients
- Permanent recruitment and placement
- Executive search and headhunting
- Contract and temporary staffing
- Mass recruitment services
- HR consulting and advisory
- Talent assessment and screening
- Work permit and employment pass assistance
- Cross-border recruitment (Singapore-Philippines)
3.2 For Candidates
- Job matching and placement services
- Career counseling and guidance
- Resume and interview preparation
- Skills assessment
- Market insights and salary benchmarking
4. Client Terms
4.1 Service Agreement
All recruitment services are subject to a separate Service Agreement which specifies:
- Scope of services
- Fee structure and payment terms
- Guarantee/replacement period
- Confidentiality obligations
- Specific terms for the engagement
4.2 Fees and Payment

4.3 Payment Terms
- Invoices are payable within 30 days from invoice date
- Late payments incur interest at 1.5% per month or the maximum allowed by law
- All fees are exclusive of GST unless otherwise stated
- Refunds are subject to our Replacement Guarantee (Section 4.4)
4.4 Replacement Guarantee
For Permanent Placements:
- If a placed Candidate leaves or is terminated within 90 days of start date, we will provide a replacement at no additional fee
- Guarantee applies only if termination is due to performance or resignation (not redundancy, company closure, or misconduct)
- Client must notify AXHR within 7 days of termination
- Replacement candidate must be from existing database or new search (reasonable timeframe applies)
Conditions:
- Candidate was not misrepresented by Client
- Job description and terms remain substantially unchanged
- Client cooperates with replacement process
- Full fees for original placement have been paid
4.5 Client Obligations
Clients agree to:
- Provide accurate and complete job descriptions
- Respond to candidate submissions within agreed timeframes
- Conduct fair and professional interviews
- Not directly approach or hire AXHR candidates without paying applicable fees
- Maintain confidentiality of candidate information
- Comply with Singapore employment laws and regulations
- Provide feedback on interviewed candidates
- Notify AXHR of any offers made to candidates
4.6 Introduction and Off-Limits Period
- Candidates submitted by AXHR remain "introduced" for 12 months
- If Client hires an introduced Candidate through any means within 12 months, full fees apply
- This includes direct hire, through another agency, or contractor arrangements
- Client must not solicit AXHR employees for 24 months after last engagement
5. Candidate Terms
5.1 No Fee to Candidates
AXHR does not charge fees to Candidates for job placement services in compliance with Singapore employment agency regulations.
5.2 Candidate Obligations
Candidates agree to:
- Provide accurate and truthful information in resumes and applications
- Disclose any conflicts of interest or existing job offers
- Attend scheduled interviews and meetings punctually
- Inform AXHR immediately of any job offers received
- Not submit the same application through multiple agencies for the same position
- Provide genuine references and consent for background checks
- Honor job offers accepted through AXHR
- Maintain professional conduct throughout the process
5.3 Representation
By registering with AXHR, Candidates authorize us to:
- Present their profile to potential employers
- Conduct reference and background checks
- Share their information with Client companies (for specific opportunities only)
- Store their data in accordance with our Privacy Policy
- Contact them regarding suitable opportunities
5.4 Candidate Responsibilities
- Accuracy: Ensure all information provided is current and truthful
- Availability: Respond promptly to AXHR communications
- Preparation: Adequately prepare for interviews and assessments
- Notification: Inform AXHR of any changes in availability or circumstances
- Acceptance: Only accept offers you intend to honor
6. Intellectual Property
6.1 Website Content
All content on our Website, including text, graphics, logos, images, and software, is the property of AXHR or its licensors and is protected by Singapore and international copyright laws.
6.2 Permitted Use
You may:
- View and print pages for personal, non-commercial use
- Download materials for job application purposes
6.3 Prohibited Use
You may not:
- Reproduce, distribute, or create derivative works without written permission
- Use our content for commercial purposes
- Remove copyright or proprietary notices
- Scrape or data mine our Website
- Use our brand, logos, or trademarks without authorization
7. Limitation of Liability
7.1 Service Limitations
AXHR provides recruitment services in good faith but cannot guarantee:
- Successful placement for all Candidates
- Finding suitable candidates for all Client positions
- Candidate performance or longevity in placement
- Accuracy of third-party information (e.g., references, credentials)
7.2 Liability Cap
Our total liability for any claim arising from our Services shall not exceed the fees paid by the Client for the specific placement or engagement in question.
7.3 Exclusions
We are not liable for:
- Indirect, consequential, or special damages
- Loss of profits, revenue, or business opportunities
- Candidate misconduct or performance after placement
- Third-party actions or omissions
- Website downtime or technical errors
- Decisions made by Clients or Candidates based on our advice
7.4 Legal Exceptions
Nothing in these Terms excludes liability for fraud, gross negligence, or death/personal injury caused by our negligence.
8. Confidentiality
8.1 Mutual Confidentiality
Both parties agree to:
- Keep confidential information received from the other party secure
- Use confidential information only for the purpose of the engagement
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request
8.2 Candidate Confidentiality
We protect Candidate confidentiality by:
- Only sharing profiles with explicitly consented opportunities
- Anonymizing candidate information until Client expresses interest
- Not disclosing current employer information without permission
8.3 Client Confidentiality
We protect Client confidentiality by:
- Keeping hiring plans and requirements confidential
- Not disclosing terms, salaries, or conditions to competitors
- Using secure systems for sensitive information
9. Termination
9.1 By Clients
Clients may terminate ongoing recruitment assignments with 7 days' written notice. Fees for placements made or in-progress remain payable.
9.2 By Candidates
Candidates may remove themselves from our database at any time by contacting privacy@auraxishr.sg.
9.3 By AXHR
We may terminate services immediately if:
- Client fails to pay invoices within 60 days
- Candidate or Client provides false information
- Conduct violates these Terms or applicable laws
- Relationship is no longer commercially viable
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.
10.2 Dispute Resolution Process
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation (14 days)
- Mediation: If unresolved, parties agree to mediation through Singapore Mediation Centre (30 days)
- Arbitration/Litigation: If mediation fails, disputes may proceed to arbitration or Singapore courts
11. General Provisions
11.1 Amendment
We reserve the right to modify these Terms at any time. Updated terms will be posted on our Website with a new "Last Updated" date. Continued use constitutes acceptance.
11.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
11.3 Waiver
Failure to enforce any right or provision does not constitute a waiver of that right.
11.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights to Auraxis Group affiliates.
11.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, pandemics, government actions, etc.).
11.6 Entire Agreement
These Terms, together with our Privacy Policy and any Service Agreements, constitute the entire agreement between parties.

- Fraud or misrepresentation in recruitment processes
- Violations of employment laws or regulations
- Breach of candidate or client confidentiality
- Unethical business practices or conflicts of interest
- Discrimination, harassment, or workplace misconduct
- Any violations of these Terms and Conditions
